These Shopify Services Terms ("Terms") govern consulting, theme customization, development, migration, launch, implementation, and ongoing-support services provided by HansonCore, LLC DBA Five Acre Code ("Five Acre Code," "we," "us," or "our") to the business or person purchasing or authorizing the services ("Client," "you," or "your").
Agreement and order of precedence
These Terms apply when you sign or accept a proposal, statement of work, order form, or other services agreement that incorporates them, or otherwise authorize Five Acre Code to begin services with notice of these Terms.
If you accept these Terms for a company or other organization, you represent that you have authority to bind it. In that case, "Client" and "you" refer to that organization.
The applicable signed proposal, statement of work, order form, data-processing agreement, or other project-specific agreement can add to or replace these Terms. If documents conflict, the project-specific signed agreement controls, followed by these Terms. Shopify, theme, app, hosting, payment, and other third-party agreements remain separate.
Services and deliverables
Services can include discovery, technical planning, Shopify theme customization, Online Store 2.0 implementation, sections and blocks, storefront features, app integration, performance or accessibility work, migration, launch support, custom app or Shopify Function work, troubleshooting, and recurring support.
Only work identified in the written scope is included. A recommendation, estimate, mockup, prototype, test result, support message, or informal discussion is not an additional deliverable unless added in writing.
Estimates, schedule, and dependencies
Estimates are based on the information, access, content, code, design, platform behavior, and third-party systems available when the estimate is prepared. Dates can change when requirements, approvals, access, content, data, themes, apps, platform behavior, or other dependencies change.
You will provide timely decisions, accurate requirements, representative content and test data, properly licensed assets, and authorized access. Delays or incomplete information can pause the schedule and require a revised estimate or release plan.
Change control
A request that changes requirements, deliverables, integrations, review rounds, acceptance criteria, environments, schedule, risk, or dependencies can require a written scope change. We may pause affected work until the scope, timing, and fees are agreed.
Defects are assessed against the agreed acceptance criteria and environment. New preferences, third-party changes, newly discovered legacy behavior, unsupported contexts, and work outside the accepted deliverable are not automatically defect remediation.
Client responsibilities and approvals
You are responsible for:
- Owning or having authority to operate the Shopify store and authorize the services.
- Maintaining Shopify, domain, payment, theme, app, font, media, content, and other licenses or subscriptions.
- Providing lawful content, data, designs, instructions, and business rules that do not infringe third-party rights.
- Reviewing deliverables, preview links, data, calculations, storefront content, responsive behavior, integrations, and checkout behavior before approval or publication.
- Maintaining appropriate store backups, exports, recovery options, staff controls, and business-continuity plans.
- Ensuring your store, products, claims, discounts, subscriptions, accessibility, privacy notices, consent flows, taxes, shipping, payments, returns, and customer communications comply with applicable law and contracts.
- Revoking access that is no longer needed and notifying us promptly about suspected unauthorized access or material store changes.
Five Acre Code does not make legal, tax, accounting, accessibility-certification, payment, carrier, licensing, or regulatory decisions for the Client.
Shopify access and production changes
Access must follow the Store Access and Client Responsibilities. Use least-privilege collaborator, staff, or Theme Access methods; do not send shared owner passwords or active secrets through ordinary email or forms.
We normally develop in a development, preview, draft, or unpublished surface. Publishing, installation, configuration, data mutation, or another production change requires the authority established in the written scope or an authorized Client approval. Emergency work can use a different process only when the Client authorizes it and the circumstances are documented.
Fees, taxes, and expenses
Pricing varies by project and deliverable. The written agreement states whether work is fixed-fee, time-based, milestone-based, recurring, reserved-capacity, or another agreed structure.
Invoices, deposits, retainers, payment timing, late-payment terms, approved expenses, and taxes follow the written agreement. An invoice is due on the date shown on the invoice; if no due date is shown, it is due upon receipt. The Client is responsible for applicable taxes other than taxes on Five Acre Code's net income and for authorized third-party charges. We may suspend work or withhold unpublished deliverables when an undisputed amount is overdue.
Cancellation and termination
Either party may terminate as allowed by the written agreement and the Cancellation and Refund Policy. The Client remains responsible for completed work, approved work in progress, committed third-party costs, and other non-cancellable obligations through the effective termination date.
We may suspend or terminate work for nonpayment, unlawful instructions, abusive conduct, security risk, repeated failure to provide dependencies, infringement concerns, or a material breach. Sections that by their nature should survive—including payment, intellectual property, confidentiality, disclaimers, liability, indemnity, and dispute terms—survive termination.
Intellectual property
Each party retains its pre-existing materials, methods, code, tools, templates, documentation, trademarks, data, and know-how. The Client retains ownership of Client-provided materials.
Ownership or license rights in custom deliverables are defined by the written agreement and apply only after full payment. Unless the written agreement says otherwise, the Client receives a perpetual, non-exclusive license to use the completed custom deliverable for the identified Shopify business or store, while Five Acre Code retains reusable know-how, generalized techniques, pre-existing components, development tools, and non-Client-specific utilities.
Third-party themes, apps, libraries, fonts, media, open-source software, Shopify components, and platform materials remain subject to their own licenses. Work on a licensed theme does not transfer the underlying theme copyright or expand the Client's theme license.
Confidentiality
Each party will use the other party's non-public information only for the engagement, protect it with reasonable care, and disclose it only to people or providers who need it and are subject to appropriate obligations. Confidential information excludes information that was already lawfully known, becomes public without breach, is independently developed, or is lawfully received from another source.
Required legal disclosure is permitted after reasonable notice when lawful. Confidentiality obligations do not prevent Five Acre Code from retaining minimal records needed for security, billing, legal compliance, or dispute resolution.
Privacy and data processing
Project information is handled under the Services Privacy Policy, Data Processing Addendum, and any signed project-specific data-processing agreement. The Client determines the lawful purpose and instructions for customer or merchant data made available through its store.
Do not provide personal data, credentials, production exports, or access beyond what the agreed work requires. Five Acre Code may decline or delete unnecessary sensitive data.
Third-party platforms and changes
Shopify and third-party themes, apps, browsers, APIs, extensions, payment providers, carriers, domains, consent tools, analytics, and services can change, fail, restrict access, or discontinue functionality. Five Acre Code does not control their availability, fees, review decisions, roadmaps, or support timing.
Plan-gated capabilities remain subject to Shopify's current eligibility. Five Acre Code is an independent service provider, is not Shopify, and cannot bind Shopify or guarantee Shopify Plus, App Store, Theme Store, API, protected-data, payment, or extension approval.
Acceptance and warranty
The acceptance process and any limited correction period are defined in the written agreement. If the agreement is silent, the Client has ten business days after delivery to provide written notice describing any material failure to meet the written acceptance criteria. A deliverable is accepted when the Client approves it, publishes or uses it in production, or does not provide that notice within the review period. Acceptance does not waive an express warranty that survives acceptance.
We will perform services in a professional and workmanlike manner. The Client's primary remedy for a proven failure of that commitment is reasonable re-performance of the affected in-scope service when feasible. This warranty does not cover Client or third-party changes, unsupported use, conditions outside the agreed test environment, ordinary maintenance, or platform changes after acceptance.
Disclaimers
Except for an express warranty in a signed agreement, services, recommendations, estimates, deliverables, tests, documentation, and support are provided "as is" and "as available" to the maximum extent allowed by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement where law permits.
We do not guarantee revenue, conversion, search rank, Core Web Vitals, Lighthouse scores, accessibility or legal compliance, uninterrupted storefront operation, compatibility with every app/browser/device, Shopify approval, or a result controlled by a third party. Performance, accessibility, and checkout behavior depend on the complete store, content, configuration, apps, data, traffic, and platform—not theme code alone.
Limitation of liability
To the maximum extent allowed by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, sales, goodwill, data, or business opportunity, even if advised that they are possible.
To the maximum extent allowed by law, Five Acre Code's aggregate liability arising from an engagement will not exceed the fees paid to Five Acre Code under the affected written agreement during the six months before the event giving rise to the claim. This limit does not apply where law prohibits it or to liability that cannot legally be limited.
Indemnity
The Client will defend, indemnify, and hold harmless Five Acre Code and its owners, employees, contractors, and service providers from third-party claims, losses, liabilities, penalties, and reasonable costs arising from Client content, data, products, instructions, business rules, legal obligations, infringement, unlawful use, or unauthorized production decisions, except to the extent caused by Five Acre Code's breach of the applicable written agreement.
Independent contractor
Five Acre Code is an independent contractor. The engagement does not create employment, partnership, fiduciary, franchise, joint-venture, agency, exclusivity, or authority to bind either party. Neither party may make commitments for the other without written authority.
Governing law and disputes
These Terms are governed by Mississippi law, United States, without regard to conflict-of-law rules. Venue lies in the state or federal courts located in Mississippi unless a signed agreement or applicable law requires otherwise.
Before filing a claim, the parties will attempt in good faith to resolve the dispute through authorized business contacts. Either party can seek urgent relief needed to protect systems, confidential information, intellectual property, or data.
General terms
Neither party is liable for delay caused by events beyond reasonable control, except payment obligations for services already performed. Neither party may assign an engagement without the other's consent, except in connection with a merger, reorganization, sale of substantially all relevant assets, or to an affiliate that assumes the obligations.
If a provision is unenforceable, the remainder remains effective. A waiver must be written and applies only to the stated instance. Notices may be sent through the contacts in the written agreement. These Terms and the incorporated project documents are the complete agreement about their subject.
Changes to these Terms
We may update these Terms for future services to reflect changes in our services, providers, risk, or applicable law. The as-of date identifies the current published version. An update does not amend an existing signed agreement unless the parties agree in writing or that agreement expressly provides otherwise.
