As of August 19, 2026. These Terms of Service are specific to B2B Marshal by HansonCore, LLC DBA Five Acre Code ("Five Acre Code," "we," "us," or "our").
By installing, accessing, or using B2B Marshal, the Shopify merchant or other business entity using the app ("Merchant," "you," or "your") agrees to these terms. If you use the app for an organization, you represent that you have authority to bind it.
App purpose
B2B Marshal is an operational Shopify B2B account-management app. It synchronizes Shopify company, location, order, draft-order, and payment-term facts; presents currency-partitioned exposure and account metrics; lets merchants define company/location credit and checkout policy, including tiered order-subtotal and product/variant-quantity discounts; publishes compact decision inputs; and applies eligible controls through Shopify Functions.
B2B Marshal does not lend money, extend credit, underwrite buyers, score creditworthiness, provide a credit bureau, collect debts, send invoices, provide tax or accounting services, operate a payment gateway, maintain a general ledger, or provide legal, financial, accounting, tax, or collections advice.
Merchant responsibility
You are solely responsible for:
- Determining your customers' creditworthiness, limits, terms, holds, collection actions, account status, and commercial relationship.
- Verifying B2B Marshal balances, due dates, aging, payment-reliability measures, utilization, spend, order association, company/location facts, and other output against Shopify and your authoritative financial records before acting on them.
- Selecting which companies to track and configuring, reviewing, approving, testing, monitoring, and changing all company and location policies.
- Testing representative qualifying and non-qualifying checkouts before relying on any validation, payment, delivery, free-shipping, discount, or draft-review behavior. Discount testing includes relevant tier boundaries, product-versus-variant grouping, percentage or fixed benefits, simultaneous order/item eligibility, markdown exclusion, currency, and stacking configuration.
- Confirming the applicable B2B Marshal plan, Shopify plan, Shopify B2B state, protected-data approval, history access, Function availability, payment/region limitations, and checkout-resource capacity.
- Maintaining accurate Shopify companies, locations, orders, transactions, refunds, payment schedules, terms, products, shipping methods, payment methods, discounts, staff permissions, and third-party configuration.
- Ensuring that account policy, buyer communications, checkout restrictions, discounts, payment actions, and your use of app data comply with contracts, credit laws, privacy laws, anti-discrimination laws, consumer/commercial laws, tax obligations, accounting requirements, sanctions, Shopify terms, and other obligations that apply to you.
- Keeping independent records of business-critical credit decisions, customer agreements, policies, and financial information.
You acknowledge that B2B Marshal output is operational decision support. You retain human responsibility for consequential financial and customer decisions.
Data accuracy and synchronization
B2B Marshal derives account views from Shopify data available through approved APIs and scopes. Webhooks pull changes forward, while background reconciliation is designed to recover current state. Data can still be delayed, incomplete, unavailable, duplicated, changed after display, limited by Shopify history access, or affected by provider incidents and merchant configuration.
Shopify lifetime totals and B2B Marshal tracked metrics use different sources and inclusion windows and may not match. Unlike currencies are not combined using foreign-exchange rates. Payment timing and overdue status can change with time or with later transaction/schedule updates. Draft reviews stay outside booked exposure until converted into an order.
You must investigate material discrepancies before making a credit, fulfillment, collection, pricing, or account decision.
Checkout behavior and platform eligibility
Checkout execution depends on Shopify, Shopify Functions, app-owned projections and resources, available runtime data, the purchasing company/location, merchant settings, discounts, payment and delivery configuration, third-party apps, and Shopify platform limits.
An inactive, untracked, missing, or malformed B2B Marshal projection is designed to fail open. This reduces accidental enforcement without a valid projection but does not guarantee that an intended control will run. Shopify can also reject, change, limit, or delay Function operations.
Tiered order discounts use the highest configured tier reached by the eligible order subtotal. Tiered item discounts use the highest configured tier reached independently by each product's combined quantity or each variant's quantity, according to the selected scope. Both ladders can apply in one checkout. If markdown exclusion is enabled, lines with a higher compare-at unit price than current unit price do not qualify and do not receive either discount. Money thresholds and fixed benefits are configured in store currency and evaluated using Shopify checkout currency data. Shopify remains authoritative for discount compatibility, combination, presentation, and final checkout totals.
Require payment now requires B2B Marshal Pro and Shopify Plus. Send to draft review requires B2B Marshal Pro and Shopify Plus B2B. A B2B Marshal subscription does not change or guarantee Shopify eligibility.
Shopify billing
B2B Marshal uses Shopify App Pricing. Shopify handles plan selection, trial configuration, approval, recurring billing, taxes, cancellation, and invoice presentation. B2B Marshal confirms subscription state through Shopify systems and applies Free, Core, Growth, or Pro entitlements.
If subscription state is delayed, unavailable, rejected, reversed, disputed, expired, or unconfirmed, access can remain limited until B2B Marshal receives authoritative state. A downgrade can move companies above the new capacity to Not tracked and remove checkout enforcement for those accounts while retaining saved policy/history for later use.
Refund requests are handled under the B2B Marshal Refund Policy and applicable Shopify billing rules.
Services and support
Standard support covers documented use of B2B Marshal. Credit-policy design, underwriting, collections, accounting reconciliation, legal or tax advice, data cleanup, migration, custom Shopify Functions, custom reports, Shopify administration, and consulting are separate services unless covered by a signed written agreement.
Documentation, examples, support responses, diagnostics, and suggested recovery steps are informational. You remain responsible for reviewing and validating the result.
Acceptable use
You may not use B2B Marshal to:
- Violate law, Shopify terms, contractual obligations, privacy or data rights, anti-discrimination requirements, sanctions, or third-party rights.
- Make unlawful, deceptive, discriminatory, abusive, or unsafe account or checkout decisions.
- Interfere with Shopify, Five Acre Code systems, another merchant, or another service.
- Attempt unauthorized access, credential harvesting, malicious input, rate-limit circumvention, scraping, reverse engineering, or security testing without written permission.
- Upload credentials, card data, malware, or information you do not have authority to process.
We may suspend or limit access when we reasonably believe use presents a security, legal, platform, data-protection, or service-integrity risk.
Availability and changes
B2B Marshal relies on Shopify and other service providers. It can be interrupted, delayed, degraded, changed, restricted, or discontinued because of maintenance, incidents, API or Function changes, provider outages, data limits, app review, billing state, security needs, law, or other operational reasons.
We may add, change, repackage, restrict, or remove features, plans, limits, documentation, and policies. We may update these terms by publishing a revised version. Continued use after an effective update means you accept the revised terms to the extent permitted by law.
Third-party platforms
Shopify, Railway, Turso, GitHub, Zoho Mail, Cloudflare, and other providers are independent third parties. We are not responsible for third-party availability, security events, billing systems, policies, API behavior, data accuracy, app review decisions, or changes outside our control.
Disclaimers
To the maximum extent allowed by law, B2B Marshal and related documentation, metrics, alerts, policy tools, checkout operations, diagnostics, exports, support, and services are provided "as is" and "as available" without warranties of any kind, express, implied, statutory, or otherwise.
We disclaim implied warranties including merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, uninterrupted or error-free operation, security, compatibility, and warranties arising from course of dealing or trade usage.
We do not warrant that B2B Marshal will identify every unpaid or overdue amount, keep every record current at all times, enforce every intended control, prevent an unintended order, prevent a credit loss, improve collections, preserve margin, produce accounting-grade output, satisfy legal requirements, or avoid customer disputes. We do not warrant against incorrect balances, due dates, account associations, threshold results, order blocking or allowance, payment-method behavior, draft routing, shipping behavior, tier qualification, product/variant grouping, markdown classification, currency conversion, discount application or stacking errors, lost sales, bad debt, fraud, tax exposure, chargebacks, refunds, data loss, downtime, or other business impact.
Limitation of liability
To the maximum extent allowed by law, Five Acre Code will not be liable for indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages, or for lost profits, revenue, savings, goodwill, business opportunity, data, or customers; business interruption; cost of substitute services; credit losses; unpaid balances; bad debt; collection costs; fulfillment or inventory losses; incorrect account decisions; checkout losses; discount or shipping losses; tax or accounting exposure; penalties; fines; chargebacks; refunds; credits; remediation costs; or similar financial consequences, even if advised of the possibility.
To the maximum extent allowed by law, Five Acre Code's total aggregate liability for all claims relating to B2B Marshal will not exceed the greater of: (a) fees you paid to Five Acre Code for B2B Marshal during the three months before the event giving rise to the claim; or (b) USD $100.
These limitations apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, equity, and any other legal theory. Some jurisdictions do not allow every exclusion or limitation, so portions may not apply to you.
Indemnity
You will defend, indemnify, and hold harmless Five Acre Code, its owners, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- Your company-account, credit, collections, payment-term, pricing, shipping, discount, fulfillment, tax, legal, privacy, or business decisions.
- Your configuration, testing, monitoring, or use of B2B Marshal policy, financial output, checkout controls, exports, or support guidance.
- Your Shopify data, customer agreements, merchant-entered content, instructions, or failure to maintain accurate authoritative records.
- Your misuse of the app, violation of these terms, violation of law or Shopify terms, or infringement of third-party rights.
Data and security
Review the B2B Marshal Privacy Policy, Security Policy, Data Processing and Subprocessors, Cookie Policy, App Permissions and Scopes, and GDPR and CCPA Handling before installing or continuing to use the app.
Governing law
These terms are governed by the laws of Mississippi, United States, without regard to conflict-of-law rules. Venue for any dispute will be in the state or federal courts located in Mississippi, unless applicable law requires another venue.
Severability
If a part of these terms is unenforceable, the rest remains in effect, and the unenforceable part will be interpreted as far as allowed to reflect its original intent.
